The New Mexico Application For Certificate Of Authority for Foreign Nonprofit Corporation | Form FNP is a mandatory filing of the New Mexico Secretary of State to be submitted to its Corporations and Businesses Bureau. The completed original form must be submitted with a copy (both must be signed), a Certificate of Good Standing issued by the official governing body or its recognized custodian of the filing entity’s home state, a completed and signed New Mexico Statement of Acceptance of Appointment By Designated Initial Registered Agent, a completed Document Delivery Instruction Form, and a check or money order (issued to Secretary of State) for the Filing Fee of $25.00. The Certificate of Good Standing and the duplicate copy will be mailed back with the Certificate of Authority, if approved. The filing entity may also request the duplicate copy be certified for an additional $10.00.
This package may be mailed to Secretary of State, Corporations Bureau, 325 Gaspar, Suite 300, Santa Fe, New Mexico 87501. It should be noted that while this is a requirement of the New Mexico Secretary of State, it will not automatically satisfy all governing bodies in this state. For instance, the filing entity may require a business or professional license to fulfill its purpose while remaining in compliance with local statutes. Incorporators are encouraged to seek legal advice before applying for this certificate should any part of the application process be unclear.
How To File
Step 1 – Select both links above and download these files. This will give you the New Mexico Application For Certificate Of Authority for Foreign Nonprofit Corporation | Form FNP and the New Mexico Statement of Acceptance of Appointment By Designated Initial Registered Agent from the “Download Application” link and the Document Delivery Instructions form from the “Download Delivery Instructions.”
Step 2 – Open the file labeled “fnp” this is a PDF file. The first page will start the New Mexico Application For Certificate Of Authority for Foreign Nonprofit Corporation | Form FNP. Locate Item 1 then enter the Full Name of the foreign nonprofit corporation. If the Full Name of the foreign nonprofit corporation is not permitted or unavailable, there must be a statement of resolution stating the Fictitious Name this corporation will function as included in this submittal package. This statement must also contain the name of the New Mexico Agency that has denied the foreign nonprofit the ability to use its True Name. Such a statement must be Signed by an Authorized Officer.
Step 3 – In Item 1, locate the words “It is incorporated under the laws of,” then enter the jurisdiction where the filing entity incorporated in on the blank space.
Step 4 – In Item 2, enter the exact Date the filing entity gained its corporate status on the blank space following the words “The date of incorporation in its domestic state is.” On the next line report the Termination or Dissolution Date if it has been predetermined. If there is no such date you must write in the word “Perpetual.”
Step 5 – The blank line under the bold words “…registered office in its domestic state…,” in Item 3, will require the Full Address of the actual location of the filing entity’s Registered Office in its home state.
Step 6 – The blank line under the bold words “…principal office…,” in Item 3, will require the Full Address of the physical location of the filing entity’s Principal Office. If this is the same address as the filing entity’s Registered Office, in its home state, you may leave this blank.
Step 7 – On the first line of Item 4, you must report the actual location of the filing entity’s Registered Office in New Mexico. If no street address exists then give a description of where the Registered Office is physically located (be very specific). Then, under the words “…name of registered agent…,” document the Full Name of the Registered Agent in New Mexico who has agreed to act in this capacity on behalf of this entity.
Step 8 – In Item 5, on the blank line provided, give a full account of the Purpose the filing entity has for gaining the right to transact business in the State of New Mexico. This should include a brief description of why this corporation wants to do business in New Mexico and how it will conduct this business.
Step 9 – Item 6 will call for a full account of the Name, Title, and Address of each active Director and Officer in the foreign nonprofit corporation. If there is not enough room, then continue this list on a separate sheet of paper.
Step 10 – After Item 6, two Authorized Officers must sign their Names on the space provided. The Name of the corporation should be entered above this. and the Date of signing must be reported on the Date line in the upper left hand portion of the page.
Step 11 – You may mail both copies of the New Mexico Application for Certificate of Authority, the completed New Mexico Statement of Acceptance of Appointment by Designated Initial Registered Agent, the completed Document Delivery Instructions Form, and a check or money order for $25.00 made payable to Secretary of State as one package to the New Mexico Corporation and Businesses Bureau. If you wish the returned duplicate to be certified you must add an additional $10.00 certification fee to your payment. Note: All applicable payments must be received at the time of filing.
