The New York Certificate of Incorporation Not-For-Profit Corporation | Form DOS 1511-f is a template form which must be filled out and submitted with all required documents and payment to the New York State Department, Division of Corporations when a corporation is ready to apply for a New York Certificate of Incorporation. A successful filing with this paperwork with this governing entity does not grant Tax-Exempt Status. In order to apply for Tax-Exempt Status, an entity must go through a separate process with the Internal Revenue Service. This may require specific language to be used in the New York Certificate of Incorporation Not-For-Profit Corporation though. Thus, it is crucial that Incorporators contact the Internal Revenue Service before filling out this form should it intend to apply for such status in the future.
The New York Certificate of Incorporation Not-For-Profit Corporation may be submitted by mail, in person, or by fax. This will need to be accompanied with a payment for the Filing Fee. If using a check to pay for the Filing Fee, make it payable to “Department of State.” The New York State Department will also accept credit card payments when appropriate however, if submitting by fax, you must include the Credit Card/Debit Card Authorization Form.
How To File
Step 1 – You will need to obtain a blank copy of Form 1511-f. You may do so by clicking on the “Download Form” link above then saving it to your computer. This is a PDF form that may be edited or filled in with an appropriate PDF program. You may fill it out onscreen using this program or you may print it then fill it out manually.
Step 2 – Just under the Title, “Certificate Of Incorporation Of,” report the Full Name of the not-for-profit corporation this document is registering.
Step 3 – In the First Article, enter the Full Name of the not-for-profit corporation being registered with the New York State Department, Division of Corporations.
Step 4 – The Third Article will require you to choose a definition for the Purpose of the not-for-profit corporation. If the Purpose is identical to that of any legal charitable corporation then mark the first box. If the Purpose is that of any legal non-charitable corporation then check the second box. If you wish to define a specific purpose, rather then use a generic one, mark the first box and report the Purpose in the space provided.
Step 5 – In the Fourth Article, you must further define the purpose. If this not-for-profit corporation will not participate in any activity requiring approval from a state board, department, official, or similar entity then mark the first box. If the not-for-profit corporation does need such approval for its activities then mark the second box.
Step 6 – If this is a charitable corporation (as per Section 201 of the Not-For-Profit Corporation Law) then mark the first box in the Fifth Article. If this is a non charitable corporation then mark the second box in the Fifth Article.
Step 7 – In the Sixth Article, report the New York State County where this corporation’s office is located on the blank space provided.
Step 8 – In the Seventh Article, at least three initial Directors of this not-for-profit corporation must be reported. There will be a line for the “Name” and a line for the “Address.” Make sure the Address Line contains the Building Number, Street, any applicable Suite or Unit Number, City, State, and Zip Code for the Director being reported.
Step 9 – The Eight Article will officially name the New York Secretary of State as the recipient of Service of Process documents in the event the forming corporation is sued in the future. Report the Full Address where a copy of such documents may be received by the corporation. This must be an up to date permanent Address.
Step 10 – The Ninth Article is optional. If this not-for-profit corporation intends to apply for Tax Exempt Status, enter the 501(c)(3) compliant language the Internal Revenue Service requires to be included in this form in the space provided. If the not-for-profit corporation does not intend to apply for Tax-Exempt Status, then leave this section blank.
Step 11 – Locate the blank line labeled “Incorporator Name.” On the blank line in this area, you must type or print the Name of an Incorporator. Below this on the line labeled “Address,” enter that Incorporator’s Address. Each Incorporator must be reported, if there is not enough room then use the PDF program to add additional space so that each one may be reported. Below this, each Incorporator must Sign his or her Name.
Step 12 – The last section of this form, beginning with the words “Filer’s Name,” will require the Full Name and Full Address of the entity filing this document. There will be a space for the Mailing Address, City, State, and Zip Code.
Step 14 – Gather all the documents that your type of not-for-profit corporation will need to submit with the New York Certificate of Incorporation Not-For-Profit Corporation and organize it into a package with a check made payable to “Dept of State” for the $75.00 Filing Fee. You may also submit this paperwork in person or by fax. If submitting by fax, include a completed Credit Card/Debit Card Authorization Form.
