The State of New Hampshire Application for Certificate of Authority For Profit Foreign Professional Corporation | Form 40PC is one of the documents that must be submitted to the New Hampshire Secretary of State if a foreign professional corporation intends to do business in the State of New Hampshire. Step 1 – Download the State of New Hampshire Application for Certificate of Authority For Profit Foreign Professional Corporation | Form 40PC by selecting the above link (“Download Application”).

Step 2 – Enter the Full Name of the filing entity. This must the True Name as it is known on record in its jurisdiction and must be written exactly as it appears in its original articles (or any amendments, reports, etc) submitted to and approved by the governing body in its jurisdiction. This must include any punctuations, capitalizations, words of incorporation, or abbreviations as it must be the exact Name. Do this in the First Article.

Step 3 – If for some reason the True Name of the filing entity is not available or compliant (or both) in New Hampshire then the foreign corporation will need to operate under an Assumed Name. This will require the submittal of a Trade Name Application ($50.00 Filing Fee) and a resolution statement of the intent to operate under this Name in the State of New Hampshire. This resolution must be signed by the Secretary.  Report any such Assumed Name in the Second Article.

Step 4 – Enter the Physical Location of the Principal Office on the first blank line in the Third Article. This should be a Full Address (Building Number, Street, Suite Number, City, State, Zip Code) of the Principal Office’s actual location. Below this you may enter additional information. There will be a line for the Principal Mailing Address, Business Phone, Business Email, and an option to receive Annual Report Reminders via Email. Note: While not required to enter the Principal Mailing Address, Business, Phone, or Business Email, the filing entity must report the actual location of the Principal Office on the first line, labeled “Principal Mailing Address.”

Step 5 – The Fourth Article calls for the jurisdiction where the filing entity incorporated.

Step 6 – Report the Date of Incorporation on the first blank space in the Fifth Article. Then enter the Period of Duration for this foreign entity’s corporate activities. If not such duration exists you must write in the word “Perpetual.”

Step 7 – The Sixth Article will bind the filing entity to RSA 294-A:20. This means that all Officers and Directors are legally licensed and therefore able to provide the services and fulfill the Purpose that will be listed in the Eighth Article.

Step 8 – Next, in the Seventh Article, enter the Full Name of the New Hampshire Registered Agent on the blank line below the words “The name of its registered agent IN NEW HAMPSHIRE is.” Then beneath the words “The complete address of its registered office IN NEW HAMPSHIRE (agent’s business address) is” write out the Full Address of the actual location as it is known in the filing entity’s domicile state’s governing body.

Step 9 – In the Eighth Article, describe the Purpose of the corporation and how it will conduct its affairs in the State of New Hampshire.

Step 10 – Each Officer and Director must be reported in the Ninth Article. This will be an official Roster of the filing entity’s Board of Directors and Officers. This must be a current and up-to-date list. Each Director/Officer must have his/her Full Name, Title, and Address reported. If there is not enough room you must continue this list on a separate document that is clearly labeled and attached.

Step 11 –Below the Ninth Article is the Signature section. This section must be completed. Enter the Full Name of the filing entity on the line labeled “Corporate Name.” Then, on the line labeled “Signature,” the Chairman of the Board, President, or an Authorized Officer must Sign his/her Name. This individual must also Print his/her Name on the line labeled “Print or type name.” Below this, on the line labeled “Title,” the Signing Party must report his/her Title with the filing entity. On the last line, “Date Signed,” the Signing Party must provide the Date they have signed this document at the time of signing.

Step 12 –Verify that all the information you have reported on this form, gather any attachments and the State of New Hampshire Application for Certificate of Authority For Profit Foreign Professional Corporation | Form 40PC you have completed for your submittal. This submittal package must contain a check made payable to State of New Hampshire for the Filing Fee of $100.00.
