The State of New Hampshire Application For Registration Of A Foreign Nonprofit Corporation | Form FNP-1 must be filled out and accepted by the New Hampshire Secretary of State when a foreign entity wishes to operate as a nonprofit corporation within New Hampshire State lines. While this is a requirement imposed by the New Hampshire Secretary of State, and no corporation may operate as a foreign nonprofit until it has been approved, this is by no means the only requirement such an entity will need to satisfy. For instance, if the nature of this corporation is that of a professional nonprofit corporation the appropriate regulatory board’s requirements must also be fulfilled or if this corporation wishes to apply for Tax-Exempt Status in this state then the I.R.S. will need to be contacted prior to filling out then filing this document.

The Filing Fee for filing this document will be $25.00. This is the minimum amount that must be mailed in the with the State of New Hampshire Application For Registration of A Foreign Nonprofit Corporation | Form FNP-1. You may also print this form and type it or fill it out by hand but this must be done in black ink.

Step 2 – In Article 1, document the Full True Name of the filing entity’s corporate Name as it appears on record. Include all punctuation and use the exact letters and words in all the official documents the domicile state’s jurisdiction lists the Name as.

Step 3 – The Second Article gives an opportunity to report the Assumed Name this entity will function as in the State of New Hampshire, it its True Name may not be used in the State of New Hampshire. This Assumed Name, if required, must be compliant with all New Hampshire corporate naming requirements. If this article is filled out, you must include a Trade Name Application with these articles. Also, you must include a statement of resolution from the Board of Directors and Signed by the Secretary of the foreign corporation of the intent to operate and be known as this Assumed Name.

Step 4 – Input or write out the Full Address of the foreign corporation’s Principal Office’s Address on the first blank line in Article 3. This is a requirement of the State of New Hampshire. You may not use a P.O. Box on this line. If there is a separate Mailing Address, you may report this on the second line (recommended). You may also report the Business Phone Number and Email Address for a more open line of communication with the New Hampshire Secretary of State. There will be an option to receive a courtesy Nonprofit Report Reminder via email which you may choose by placing a check mark on the last blank space in Article 3.

Step 5 – Report the Jurisdiction of Incorporation in the Fourth Article. Then, in the Fifth Article, report the Date of Incorporation on the first blank space and define any Period of Duration that may apply on the second space. If there is no defined period of duration and this entity intends to operate indefinitely then write the word “Perpetual”

Step 6 – By New Hampshire State Law, the filing entity must have obtained a Registered Agent that maintains an Address in the State of New Hampshire and has agreed to receive all service of process aimed at the filing entity in the event it must respond to a lawsuit. Enter the Full Name of the Registered Agent on the first line in this article. Then, directly below the Name, enter or write out the Full Address (Building Number, Street, Suite, County/City, New Hampshire, and Zip Code) where this Registered Agent may be physically located and found.

Step 7 – Describe the Purpose of what this entity’s operation in New Hampshire will be in Article 7. This should be be a description of the nature of the filing entities and how it will operate or conduct business.

Step 8 – As per Article 8, you must provide a full and active Roster of the current Directors and Officers of the filing entity’s corporate structure. Each party must have his or her Full Name, Title with the corporation, and Business Address documented in this application. If necessary, you may continue this list on another sheet of paper that is properly labeled.

Step 9 – Next, the filing entity’s Corporate Name must be listed on the blank line labeled “Corporate Name,” at the bottom of this page. Beneath this will be a Signature Line for a Director or authorized Officer to provide his/her Signature then he/she must Print his or her Name, report the Title he or she holds, and provide the Date of Signing.

Step 10 – Now that this application has been filled out, take a moment to review it. If you have had to continue any sections on separate documents, make sure they are clearly labeled and attached. You should also take a moment to make sure that all supporting documentation that should accompany this application is present and accurate. Finally, make sure you have a check for all applicable fees made out to State of New Hampshire. This must cover all fees as well as the Filing Fee of $25.00.
