The New York Application for Authority Foreign Business Corporation | Form DOS 1335-f-a will need to be filed with the New York State Department, Division of Corporations when an out of state business wishes to conduct business as a profit corporation in the State of New York. This form will need to be completed then submitted with a Certificate of Existence issued by the governing body of the foreign corporation’s parent state. Step 3 – If this corporation is not allowed to use its Name to operate under, in the State of New York, then enter the Fictitious Name this corporation shall operate under on the blank line after the sentence “The fictitious name under which the corporation will do business in New York is”
Step 4 – In the Second Item, report the Jurisdiction where the filing entity is incorporated on the first blank space. Then, on the second blank space, report the Date the filing entity incorporated in its parent state.
Step 5 – The Third Item will bind the filing entity’s Purpose in New York State to the paragraph it contains. If the filing entity requires a different Purpose to be documented then delete this paragraph and enter the desired language for the filing entity’s Purpose.
Step 6 – In the Fourth Item, enter the New York County where this corporation will be operating in on the blank line provided.
Step 7 – The Fifth Item shall declare the New York Secretary of State where Service of Process, aimed at the filing entity, is to be received. The New York Secretary of State shall then mail a copy of such documents to the filing entity. Report the Address the New York Secretary of State must send this paperwork to on the blank line provided. Note: This must be an up-to-date and permanent address where the filing entity may reliably receive mail.
Step 8 – In the Sixth Item, you will need to check the box corresponding to the first statement if the Filing Entity has never conducted business in the State of New York without a Certificate of Authority to do so. If the New York State Tax Commission has provided a consent form to be attached to these articles, then mark the second box.
Step 9 – At the bottom of the page, locate the line labeled Signature. Here an corporate Officer, Director, or Agent authorized by the filing entity to submit these articles is required to produce a Signature on this blank line. Below this, the Signature Party must Print his or her Name. The Title of the Signature Party should be entered on the last line of this document.
Step 10 – At the top of the next page, under the words “Application For Authority Of,” enter the Full Name of the filing entity on the blank line provided.
Step 11 – Locate the words “Filed By,” then report the Name, Mailing Address, City, State, and Zip Code of the entity physically filing the completed document with the State of New York.
Step 13 – Make sure all the information reported here is accurate and fully satisfies the requirements set forth by the New York Application for Authority. Then attached all required documents the applying entity must submit, including the Certificate of Existence issued by the filing entity’s home state.
