The Alaska Articles of Incorporation Domestic Business Corporation | Form 08-400 is one of the forms which must be submitted to the State of Alaska when one wishes to incorporate a business entity. While forming a corporation is optional (and in some cases preferable), any entity wishing to conduct a business in Alaska must obtain a business license in this state. This will apply to corporations, LLC’s, LLP’s, LP’s, and individual entities. Every field/profession falling within this category will have its own standards and requirements. This license must be obtained before attempting to conduct a business in this state.
You may file your Alaska Articles of Incorporation Domestic Business Corporation Form 08-400 online, by mail, or by fax. Each submittal will require that a processing fee of $250.00, the original completed articles, an exact copy of the completed articles, and all required documents be included. If paying by check, it must be made payable to “Division of Corporations, Business and Professional Licensing.”

How to File by Paper
Step 1 – On page four, enter the name of your entity in Article 1. Remember this name must be in compliance with Alaska Statutes Title 10 Chapter 6 – Alaska Corporations Code.
Step 2 – In Article 2, report the purpose of your corporation as it is at the time of the initial filing. You must also report your NAICS Code (North American Industry Classification System code).
Step 3 – Article 3 will require the name, physical address, and mailing address of your entity’s registered agent. This may be an individual or a separate corporation that maintains both addresses in the State of Alaska.
Step 4 – If an alien affiliate controls or is controlled by your corporation, enter the name and mailing address of this entity in Article 4.
Step 5 – In Article 5, report the number of authorized shares available to the stock holders.
Step 6 – If there are any optional provisions or additional articles being filed by your corporation, they must be attached. Once this is done, the signature, printed name, and date of signature must be provided by the incorporator of these articles in the table provided, on page five.
Step 7 – On page six, supply the contact information (name, email, phone number, mailing address) for the State of Alaska’s Division of Corporations, Business, and Professional Licensing to contact you should there be a problem or more information is required for approval. This information may be different from that required by the articles and will remain separate and confidential. You will also need to enter the name and mailing address where you wish any returned documents sent.
Step 8 – Gather all your documents, the original Articles of Incorporation, a copy of the original, the contact sheet and a check or money order for $250.00 (payable to: Division of Corporations, Business and Professional Licensing), then mail this to:

How to file Electronically
Step 1 – Locate the link labeled “Business Corporations” then select it. This will open several choices, select the one labeled “Domestic (Alaskan)” and select it.
Step 2 – The first option in this tabe is labeled “Articles of Incorporation.” To the left of this label will be a PDF icon and an icon in the shape of a computer screen. Select the computer screen icon.
Step 3 – The first field, “Entity Name” will require you to enter the legal name, approved by and attained from the state, of your corporation.
Step 4 – In field 2, “Purpose,” write out the purpose of your corporation.
Step 5 – In field 3, “NAICS Code,” select your corporation’s North American Industry Code System code from the drop down menu in this section.
Step 6 – In field 4, “Registered Agent,” select the type of registered agent (individual or entity) under “Type.” Then enter the firt name, last name, and suffix of your registered agent. Next, enter the mailing address of the registered agent and, if different, the physical street address of the corporation’s registered agent.
Step 7 – In field 5, “Entity Addresses,” enter the mailing and physical address of the corporation being formed.
Step 8 – In field 6, “Shares,” select whether your corporate shares are “preferred” or “common” from the drop down menu next to “Class.” Then enter the series, amount authorized, and per value. You may add additional entries as necessary.
Step 9 – In field 7, “Alien Affiliates,” select the “Add” button if an alien entity (non-citizen) controls or is controlled by your corporation. This will open a new window. In the new window, select the type of entity the alien affiliate is, then enter the first name, last name, name suffix, and mailing address of this entity. When done, select the “Save” button. Important: Do not use the back button on your browser, select the button labeled “Previous Screen” to return to the articles.
Step 10 – In field 8, “Incorporator,” select the “Add” button for each incorporator name that must be entered. This will open a new window where you must enter the first name, last name, and name suffix of each incorporator. Each one must be entered and saved separately.
Step 11 – If you have optional provisions to be included, check the box labeled “Have optional provisions” in the “Optional Provisions” section. Then, under “Name of Person Completing this Online Application,” check the box to certify the information as true. Then the online preparer must enter his/her name and contact phone number.
Step 12 – Select the “Proceed” button and follow the attachment/payment instructions as they apply. Note: You will be directed to an external site then returned to the Alaska Corporate Sector site once payment has been accepted..
