The New Hampshire Articles of Incorporation for Professional Corporation | Form 11PC must be submitted to the New Hampshire Secretary of State Corporations Division whenever an Incorporator(s) forms a corporation composed of licensed professionals intent on delivering a professional service to the public. The service being provided must be a specialized one requiring a license. For instance, certified public accountants, certified accountants, architects, attorneys, podiatrists, chiropractors, dentists, pharmacists, professional engineers, land surveyors, registered professional nurses, optometrists, physicians, surgeons, physician assistants, psychologists, veterinarians, and any other profession requiring a license or registration. This type of corporation must also contain one of the following words: Professional Corporation, Professional Association, Prof Corp., Prof Ass’n, P.C. or P.A.
This corporate entity’s articles (New Hampshire Articles of Incorporation | Form 11PC) must be mailed in with all the necessary paper work, and a check made payable to State of New Hampshire to cover the Filing Fee ($100.00). How To File
Step 1 – Download the State of New Hampshire Articles of Incorporation for Professional Corporation by selecting the “Download Form” above or by clicking here: Form 11PC
Step 2 – The Full Name of the Professional Corporation must be entered in the First Article. This should follow the New Hampshire requirements for naming a corporation hence it must be unique and must contain one of the suffixes mentioned beforehand.
Step 3 – The next section of First Article is titled “Principal Business Information.” Here, you must report the Full Address of the Principal Office on the line labeled “Principal Office Address.” This may not contain a P.O. Box. If the Principal Office has a P.O. Box or receives its mail somewhere else, then report the Mailing Address on the line labeled “Principal Mailing Address (if different).” Then enter the main Phone Number and reliable Email Address, the New Hampshire Secretary of State may use to contact this entity, on the lines labeled “Business Phone” and “Business Email” respectively. Below this, place a check mark in the blank space labeled “Please check if you would prefer to receive the courtesy Annual Report Reminder by email” should you wish to receive this material regularly via email.
Step 5 – Next, locate the table in the Second Article. There will be four coulumns: Share Type (optional), No. of Authorized Shares, Per Value (optional), and Comments (optional). Here, you should enter the Share Type of the stock this corporation is authorized to dispense then enter the Total Number of Authorized Shares, Par Value, and any relevant Comments for that Share Type.
Step 6 – In the Third Article, report the Full Name of the Registered Agent who has agreed to receive service of process on behalf of the corporation. Below this list the Registered Agent’s Full Address. This must be the actual geographical location where the Registered Agent may be found.
Step 7 – The Fourth Article must contain a Full Description of the Professional Service the forming corporation will provide. This should be a specific statement and should include any services the corporation will provide that would be considered related to the professional service provided.
Step 8 – The Fifth Article will seek to define the benefit status of this corporation. If the corporation being formed has elected to be a benefit corporation then write in the word “is” on the blank space provided. If the corporation has elected not to act as a benefit corporation then write in the words “is not” on the blank line provided. Note: You must provide the Fiscal Year End Date on the bank line labeled “month and day” if this corporation has elected to operate as a benefit corporation.
Step 9 – The Sixth Article will require that all Incorporators provide their Printed Names and Full Address in the spaces provided. Below this each Incorporator must also provide his/her Signature. Finally, the Date of Signing must be noted on the blank line labeled “Date Signed.”
Step 10 – Gather all required documents, licenses, and all sheets of paper where you may have had to continue reporting your infomation (if there was not enough room) and attach to the New Hampshire Articles of Incorporation for Professional Corporation | Form 11PC. This must be mailed to the New Hampshire Secretary of State, along with a Full Payment of the Filing Fee ($100.00). This should be in the form of a check made payable to “State of New Hampshire.” If the articles are approved you will receive the stamped articles of incorporation within thirty days.
